Business Entity Formation

Are you not sure on how to structure a new business entity?  Entity formation is a key asset protection mechanism for founders.  A properly formed business entity helps its founders separate their personal and professional assets.   We work diligently with our founders to structure the proper business entity for their venture.

Initial Analysis

The Law Offices of Christopher J.P. Mitchell helps when you are ready to form a new business entity.  We will analyze and advise as to the advantages and disadvantages of the various business entity options and structures. This process will help you decide which is most suitable business entity for your short and long term goals.  If you already have a business entity formed, we will provide a comprehensive review and analysis of your current operating entity to make sure you are using the most advantageous structure.

Entity Formation

After our initial analysis is completed we will take the needed steps to form your business entity.  Our firm handles LLC formations, we set up C-corporations, S-corporations, non-profits and charitable organizations, partnerships, joint ventures and various other types of strategic alliances.

We will file the necessary paperwork with the state agencies, draft internal organizational documents and prepare you with operations and compliance protocols so your entity operates in accordance with the laws and regulations of that jurisdiction   For corporations, we will draft the initial certificate of incorporation, corporate by-laws, founders agreements, shareholders agreements, subscription agreements and all other necessary corporate resolutions to tie everything together.  For limited liability companies we draft initial articles of organization, operating agreements, subscription agreements, membership interests agreements and other necessary resolutions and structural governance documents as needed.  We are also able to demonstrate our business savvy and creativity when drafting other agreements for the different partnership and strategic alliance options.
